In order to clarify the intellectual property license 13granted with Contributions from any person or entity, Grafana Labs 14must have a Contributor License Agreement (CLA) on file that has been 15agreed to by each Contributor, indicating agreement to the license terms 16below. This license is for your protection as a Contributor as well 17as the protection of Grafana Labs and its users; it does not change 18your rights to use your own Contributions for any other purpose. 19This Agreement allows an individual to contribute to Grafana Labs on that individual’s own behalf, or an entity (the "Corporation") to 20submit Contributions to Grafana Labs, to authorize Contributions 21submitted by its designated employees to Grafana Labs, and to grant 22copyright and patent licenses thereto. 23 24You accept and agree to the following terms and conditions for Your 25present and future Contributions submitted to Grafana Labs. Except 26for the license granted herein to Grafana Labs and recipients of 27software distributed by Grafana Labs, You reserve all right, title, 28and interest in and to Your Contributions. 29 30## 1. Definitions. 31 32"You" (or "Your") shall mean the copyright owner or legal entity 33authorized by the copyright owner that is making this Agreement 34with Grafana Labs. For legal entities, the entity making a 35Contribution and all other entities that control, are controlled by, 36or are under common control with that entity are considered to be a 37single Contributor. For the purposes of this definition, "control" 38means (i) the power, direct or indirect, to cause the direction or 39management of such entity, whether by contract or otherwise, or 40(ii) ownership of fifty percent (50%) or more of the outstanding 41shares, or (iii) beneficial ownership of such entity. 42"Contribution" shall mean any work, as well as 43any modifications or additions to an existing work, that is intentionally 44submitted by You to Grafana Labs for inclusion in, or 45documentation of, any of the products owned or managed by Grafana Labs (the "Work"). For the purposes of this definition, 46"submitted" means any form of electronic, verbal, or written 47communication sent to Grafana Labs or its representatives, 48including but not limited to communication on electronic mailing 49lists, source code control systems (such as GitHub), and issue tracking systems 50that are managed by, or on behalf of, Grafana Labs for the 51purpose of discussing and improving the Work, but excluding 52communication that is conspicuously marked or otherwise designated 53in writing by You as "Not a Contribution." 54 55## 2. Grant of Copyright License. Subject to the terms and conditions 56 57of this Agreement, You hereby grant to Grafana Labs and to 58recipients of software distributed by Grafana Labs a perpetual, 59worldwide, non-exclusive, no-charge, royalty-free, irrevocable 60copyright license to reproduce, prepare derivative works of, 61publicly display, publicly perform, sublicense, and distribute 62Your Contributions and such derivative works. 63 64## 3. Grant of Patent License. Subject to the terms and conditions of 65 66this Agreement, You hereby grant to Grafana Labs and to recipients 67of software distributed by Grafana Labs a perpetual, worldwide, 68non-exclusive, no-charge, royalty-free, irrevocable (except as 69stated in this section) patent license to make, have made, use, 70offer to sell, sell, import, and otherwise transfer the Work, 71where such license applies only to those patent claims licensable 72by You that are necessarily infringed by Your Contribution(s) 73alone or by combination of Your Contribution(s) with the Work to 74which such Contribution(s) were submitted. If any entity institutes 75patent litigation against You or any other entity (including a 76cross-claim or counterclaim in a lawsuit) alleging that your 77Contribution, or the Work to which you have contributed, constitutes 78direct or contributory patent infringement, then any patent licenses 79granted to that entity under this Agreement for that Contribution or 80Work shall terminate as of the date such litigation is filed. 81 82## 4. You represent that You are legally entitled to grant the above 83 84license. If You are an individual, and if Your employer(s) has rights to intellectual property 85that you create that includes Your Contributions, you represent 86that You have received permission to make Contributions on behalf 87of that employer, or that Your employer has waived such rights for 88your Contributions to Grafana Labs. If You are a Corporation, any individual who makes a contribution from an account associated with You will be considered authorized to Contribute on Your behalf. 89 90## 5. You represent that each of Your Contributions is Your original 91 92creation (see section 7 for submissions on behalf of others). 93 94## 6. You are not expected to provide support for Your Contributions, 95 96except to the extent You desire to provide support. You may provide 97support for free, for a fee, or not at all. Unless required by 98applicable law or agreed to in writing, You provide Your 99Contributions on an "AS IS" BASIS, WITHOUT WARRANTIES OR CONDITIONS 100OF ANY KIND, either express or implied, including, without 101limitation, any warranties or conditions of TITLE, NON-INFRINGEMENT, 102MERCHANTABILITY, or FITNESS FOR A PARTICULAR PURPOSE. 103 104## 7. Should You wish to submit work that is not Your original creation, 105 106You may submit it to Grafana Labs separately from any 107Contribution, identifying the complete details of its source and 108of any license or other restriction (including, but not limited 109to, related patents, trademarks, and license agreements) of which 110you are personally aware, and conspicuously marking the work as 111"Submitted on behalf of a third-party: [named here]". 112
