11272. GRANT OF RIGHTS

1130grants Recipient a non-exclusive, worldwide, royalty-free copyright
1131license to reproduce, prepare derivative works of, publicly display,
1132publicly perform, distribute and sublicense the Contribution of such
1133Contributor, if any, and such derivative works, in source code and
1134object code form.
1135b) Subject to the terms of this Agreement, each Contributor hereby
1136grants Recipient a non-exclusive, worldwide, royalty-free patent
1137license under Licensed Patents to make, use, sell, offer to sell,
1138import and otherwise transfer the Contribution of such Contributor,
1139if any, in source code and object code form. This patent license shall
1140apply to the combination of the Contribution and the Program if, at
1141the time the Contribution is added by the Contributor, such addition of
1142the Contribution causes such combination to be covered by the Licensed
1143Patents. The patent license shall not apply to any other combinations
1144which include the Contribution. No hardware per se is licensed hereunder.
1145c) Recipient understands that although each Contributor grants the
1146licenses to its Contributions set forth herein, no assurances are
1147provided by any Contributor that the Program does not infringe the
1148patent or other intellectual property rights of any other entity.
1149Each Contributor disclaims any liability to Recipient for claims
1150brought by any other entity based on infringement of intellectual
1151property rights or otherwise. As a condition to exercising the rights
1152and licenses granted hereunder, each Recipient hereby assumes sole
1153responsibility to secure any other intellectual property rights needed,
1154if any. For example, if a third party patent license is required to
1155allow Recipient to distribute the Program, it is Recipient's
1156responsibility to acquire that license before distributing the Program.
1157d) Each Contributor represents that to its knowledge it has sufficient
1158copyright rights in its Contribution, if any, to grant the copyright
1159license set forth in this Agreement.

11613. REQUIREMENTS

1163A Contributor may choose to distribute the Program in object code
1164form under its own license agreement, provided that:

1166a) it complies with the terms and conditions of this Agreement; and
1167b) its license agreement:
1168i) effectively disclaims on behalf of all Contributors all warranties
1169and conditions, express and implied, including warranties or conditions
1170of title and non-infringement, and implied warranties or conditions of
1171merchantability and fitness for a particular purpose;
1172ii) effectively excludes on behalf of all Contributors all liability
1173for damages, including direct, indirect, special, incidental and
1174consequential
1175damages, such as lost profits;
1176iii) states that any provisions which differ from this Agreement are
1177offered by that Contributor alone and not by any other party; and
1178iv) states that source code for the Program is available from such
1179Contributor, and informs licensees how to obtain it in a reasonable
1180manner on or through a medium customarily used for software exchange.

1182When the Program is made available in source code form:
1183a) it must be made available under this Agreement; and
1184b) a copy of this Agreement must be included with each copy of the

1186Contributors may not remove or alter any copyright notices contained

1190Contribution, if any, in a manner that reasonably allows subsequent
1191Recipients to identify the originator of the Contribution.

11934. COMMERCIAL DISTRIBUTION

1195Commercial distributors of software may accept certain responsibilities
1196with respect to end users, business partners and the like. While
1197this license is intended to facilitate the commercial use of the
1198Program, the Contributor who includes the Program in a commercial
1199product offering should do so in a manner which does not create
1200potential liability for other Contributors. Therefore, if a
1201Contributor includes the Program in a commercial product offering,
1202such Contributor ("Commercial Contributor") hereby agrees to defend
1203and indemnify every other Contributor ("Indemnified Contributor")
1204against any losses, damages and costs (collectively "Losses") arising
1205from claims, lawsuits and other legal actions brought by a third party
1206against the Indemnified Contributor to the extent caused by the acts
1207or omissions of such Commercial Contributor in connection with its
1208 distribution of the Program in a commercial product offering. The
1209obligations in this section do not apply to any claims or Losses
1210relating to any actual or alleged intellectual property infringement.
1211In order to qualify, an Indemnified Contributor must: a) promptly
1212notify the Commercial Contributor in writing of such claim, and b)
1213allow the Commercial Contributor to control, and cooperate with the
1214Commercial Contributor in, the defense and any related settlement
1215negotiations. The Indemnified Contributor may participate in any such
1216claim at its own expense.

1220Contributor. If that Commercial Contributor then makes performance
1221claims, or offers warranties related to Product X, those performance

1223alone. Under this section, the Commercial Contributor would have to
1224defend claims against the other Contributors related to those
1225performance claims and warranties, and if a court requires any other
1226Contributor to pay any damages as a result, the Commercial Contributor

1262If Recipient institutes patent litigation against any entity (including
1263a cross-claim or counterclaim in a lawsuit) alleging that the Program
1264itself (excluding combinations of the Program with other software or
1265hardware) infringes such Recipient's patent(s), then such Recipient's
1266rights granted under Section 2(b) shall terminate as of the date such
1267litigation is filed.

1269All Recipient's rights under this Agreement shall terminate if it fails
1270to comply with any of the material terms or conditions of this Agreement
1271and does not cure such failure in a reasonable period of time after
1272becoming aware of such noncompliance. If all Recipient's rights under
1273this Agreement terminate, Recipient agrees to cease use and distribution
1274of the Program as soon as reasonably practicable. However, Recipient's
1275obligations under this Agreement and any licenses granted by Recipient
1276relating to the Program shall continue and survive.

1278Everyone is permitted to copy and distribute copies of this Agreement,
1279but in order to avoid inconsistency the Agreement is copyrighted and may
1280only be modified in the following manner. The Agreement Steward reserves
1281the right to publish new versions (including revisions) of this Agreement
1282from time to time. No one other than the Agreement Steward has the right
1283to modify this Agreement. The Eclipse Foundation is the initial Agreement
1284Steward. The Eclipse Foundation may assign the responsibility to serve as
1285the Agreement Steward to a suitable separate entity. Each new version of
1286the Agreement will be given a distinguishing version number. The Program
1287(including Contributions) may always be distributed subject to the
1288version of the Agreement under which it was received. In addition, after
1289a new version of the Agreement is published, Contributor may elect to
1290distribute the Program (including its Contributions) under the new version.
